These Terms of Service ("Terms") govern your access to and use of the StockBeat application, website, services, analytics, reports, forecasts, and related functionality (collectively, the "Service").

By installing, accessing, or using StockBeat through Shopify, you agree to be bound by these Terms.

If you do not agree with these Terms, you must not install or use the Service.

1. Introduction

These Terms define the legal conditions for using StockBeat and apply to merchants who install, access, or use the Service through Shopify.

2. About StockBeat

StockBeat is an inventory intelligence platform designed for Shopify merchants.

The Service provides inventory analytics, forecasting, stockout detection, slow-moving inventory identification, cash recovery opportunities, inventory risk indicators, and related operational insights.

StockBeat is intended to support inventory decision-making but does not replace business judgment or professional advice.

3. Eligibility

You represent and warrant that:

• You are authorized to install and use applications on behalf of the Shopify store.
• You have authority to bind the business entity using the Service.
• You will comply with all applicable laws and regulations.

4. Shopify Data Access

By installing StockBeat, you authorize us to access and process data from your Shopify store as necessary to provide the Service.

Such data may include:

• Products
• Variants
• Inventory levels
• Inventory history
• Orders
• Sales transactions
• Collections
• Store settings
• Operational metadata

We only access and process data required to deliver and improve the Service.

5. Ownership

Merchant Data

You retain all ownership rights to your store data. Nothing in these Terms transfers ownership of your data to StockBeat.

StockBeat Intellectual Property

StockBeat retains all rights, title, and interest in:

• Software, source code, algorithms, and forecasting methodologies
• User interfaces, documentation, trademarks, and branding
• Reports and scoring models

No rights are granted except those expressly stated in these Terms.

6. Forecasts and Analytics Disclaimer

The Service provides forecasts, estimates, projections, risk indicators, and analytical outputs.

These outputs are generated using historical data, statistical models, analytical methodologies, and operational assumptions. As a result:

• Forecasts may be inaccurate or become outdated.
• Results may differ materially from actual outcomes.
• Insights depend on the completeness and quality of available data.

Metrics including Revenue at Risk, Stockout Risk, Days to Stockout, Projected Demand, Slow Movers, Cash Recovery Opportunities, and Inventory Exposure are informational estimates only.

They are not guarantees of future performance.

7. Merchant Responsibility

You acknowledge and agree that StockBeat does not make purchasing decisions, place inventory orders, manage suppliers, or control inventory operations.

All inventory, purchasing, replenishment, pricing, financial, operational, and business decisions remain solely your responsibility.

You are responsible for independently evaluating any information provided by the Service before taking action.

8. No Guarantees

StockBeat does not guarantee prevention of stockouts, reduction of excess inventory, recovery of cash tied up in inventory, revenue growth, profit increases, demand accuracy, inventory optimization outcomes, or business performance improvements.

Use of the Service is at your own risk.

9. No Professional Advice

StockBeat is not a provider of financial, investment, accounting, tax, legal, or supply chain consulting advice.

Nothing provided through the Service should be interpreted as professional advice. You should consult qualified professionals where appropriate.

10. Service Availability

We strive to provide a reliable service but do not guarantee uninterrupted availability.

The Service may be affected by scheduled maintenance, infrastructure failures, cloud provider outages, Shopify platform outages, third-party service disruptions, security incidents, and events beyond our reasonable control.

We may suspend access to all or part of the Service at any time.

11. Feature Changes

We continuously improve StockBeat. Accordingly, we may add, modify, or remove features; change calculations; replace algorithms; introduce new plans; and retire existing functionality without prior approval from users.

Material changes may be communicated through the application, website, or email.

12. Beta Features

From time to time, we may release features designated as Beta, Preview, Early Access, Experimental, or similar. Such features may contain bugs, be inaccurate, change without notice, or be discontinued at any time. Beta features are provided "as-is" and without warranties.

13. Pricing and Billing

Paid subscriptions are billed through Shopify Billing or another approved billing mechanism.

We reserve the right to modify pricing for future billing periods. Price changes will not be applied retroactively and will be communicated in advance when required by applicable law.

Failure to pay applicable fees may result in suspension or termination of access.

14. Acceptable Use

You agree not to:

• Reverse engineer the Service.
• Attempt unauthorized access.
• Interfere with platform operations.
• Circumvent security controls.
• Use automated systems to abuse the Service.
• Use the Service in violation of applicable laws.

15. Privacy and Data Protection

We process personal and business data in accordance with our Privacy Policy.

Where applicable, we seek to comply with Brazil's LGPD, European GDPR, and applicable privacy regulations.

You remain responsible for ensuring that your use of Shopify and connected systems complies with applicable laws.

16. AI and Data Usage

StockBeat may use machine learning, forecasting models, and artificial intelligence technologies to provide the Service.

Merchant-specific data will not be used to train publicly available AI models without explicit authorization.

We may use aggregated, anonymized, and non-identifiable data for product improvement, benchmarking, statistical analysis, service optimization, and research and development. Such data will not identify individual merchants.

17. Third-Party Services

The Service depends on third-party platforms and providers, including Shopify and cloud infrastructure providers.

We are not responsible for Shopify outages, Shopify API limitations, changes to Shopify APIs, third-party service failures, or third-party security incidents. Changes made by third parties may affect Service functionality.

18. Limitation of Liability

To the maximum extent permitted by law, StockBeat shall not be liable for lost profits, lost revenue, lost sales, lost customers, lost business opportunities, inventory losses, overstock situations, stockouts, data loss, indirect damages, consequential damages, special damages, or incidental damages arising from or related to the use of the Service.

19. Liability Cap

To the maximum extent permitted by law, StockBeat's total cumulative liability arising from the Service shall not exceed the amount paid by the merchant to StockBeat during the twelve (12) months immediately preceding the event giving rise to the claim.

If no fees have been paid, StockBeat's maximum liability shall be limited to USD $100.

20. Indemnification

You agree to indemnify, defend, and hold harmless StockBeat and its officers, directors, employees, contractors, and affiliates from any claims, liabilities, losses, damages, costs, and expenses arising from:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of applicable laws.
• Decisions made based on Service outputs.

21. Suspension and Termination

You may stop using the Service at any time by uninstalling the application.

We may suspend or terminate access if these Terms are violated, fraudulent activity is detected, continued access creates legal or security risks, or Shopify requires suspension or removal.

Termination does not relieve either party of obligations accrued prior to termination.

22. Governing Law

These Terms shall be governed by and construed under the laws of Brazil.

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Joinville, Santa Catarina, Brazil, unless otherwise required by applicable law.

23. Changes to These Terms

We may update these Terms from time to time. Each published version has a unique version identifier and effective date so StockBeat can record which version was accepted.

The most current version will always be available through our website and application.

Continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms. Material changes may require a new acceptance before continued use of StockBeat.
